Terms of Service

1. Scope

These General Terms and Conditions (GTC) apply to all business relationships between Excellence Cloud GmbH and its customers. Deviating conditions of the customer are not recognized unless Excellence Cloud GmbH expressly agrees to their validity in writing.

2. Subject Matter of Contract

Excellence Cloud GmbH offers software solutions to financial service institutions in the following areas:

  • LEX-APP: Pro-Code Automation for Financial Service Providers
  • LEX-AI: AI Solutions for Financial Service Providers
  • LEX-AUTH: Identity & Access Management for the Financial Industry

3. Contract Formation

The contract is concluded through written confirmation of the offer by the customer or by signing a contract. Verbal side agreements require written confirmation.

4. Scope of Services

The exact scope of services is defined in the respective product description and the agreements made. Excellence Cloud GmbH is entitled to have the services performed by third parties.

5. Customer Obligations

The customer commits to:

•Pay the agreed compensation in a timely manner
•Comply with all applicable laws and regulations
•Keep access data and passwords confidential
•Report disruptions or security incidents immediately

6. Data Protection and Confidentiality

The contracting parties commit to comply with applicable data protection regulations. Further details are regulated in the separate data protection agreement.

7. Liability

Excellence Cloud GmbH is fully liable for intent and gross negligence. For slight negligence, Excellence Cloud GmbH is only liable in case of breach of a material contractual obligation and only to the extent of the foreseeable, typical damage.

8. Final Provisions

The law of the Federal Republic of Germany applies. The place of jurisdiction is Munich. Should individual provisions of these GTC be invalid, the validity of the remaining provisions shall remain unaffected.
